What the Club is, and who it’s for.

What is Liquidity Club?

Liquidity Club is where fast-growing post-seed companies access non-traditional capital, the right partners, and the resources to scale and exit on their own terms, independent of traditional VC timelines. It’s private, invitation-only, and built for Scaleup Members who’ve already proven the market wants what they’re building and are ready to scale it.

What is the post-seed gap?

It’s the stretch between your seed round and a Series A that you can’t get to yet. You’ve built a real product with real customers. Revenue is growing. You’re ready to scale. But runway is tight and the traditional path to Series A isn’t open.

VCs aren’t ready to invest. Early-stage programs can’t help. The path through doesn’t look like the one that got you here. Most platforms aren’t built for it. The Club is.

What does ‘non-traditional capital’ mean?

Capital pathways beyond conventional VC rounds. This includes tokenized instruments, revenue-based financing, strategic corporate investment, and other structures designed for companies that have traction but don’t fit traditional VC pattern-matching or timing.

In practice, that means funding options that are faster and less dilutive, without waiting on a VC’s timeline.

Is Liquidity Club just about raising capital?

No. Capital is one piece of it. LC helps post-seed Scaleup Members across two areas:

  • Funding. Non-traditional capital pathways (tokenized instruments, revenue-based financing, strategic corporate investment) that move faster and dilute less than conventional VC rounds.
  • Revenue & Monetization. Strategies that open new revenue streams, including tokenized instruments used not just to raise capital but to generate ongoing returns.

Most platforms focus on one of these. LC connects both because Scaleup Members with traction don’t just need more money. They need smarter ways to grow it.

Who can join?

Liquidity Club is built around five member types: Scaleup Members, Investors, Experts, Corporates, and Accelerators. You get in by invitation and approval from our Selection Committee. We keep it tight so every member in the room is someone worth knowing.

How do I apply?

Get a referral from a current member or the Liquidity Club team, or nominate yourself. Submit your application and we’ll take it from there.

What happens after I apply?

We read every application. Not everyone gets in. Our Selection Committee typically gets back to you within 5 to 10 business days. If you’re approved, you get onboarding instructions and immediate platform access. If you’re not, we’ll let you know either way.

What if my application isn’t approved?

You’ll receive an email letting you know. The email will include any next steps available to you. Our Selection Committee reviews every application carefully, but membership is selective and we aren’t always able to share the reasons for a decision.

How is trust maintained on the platform?

Every applicant is vetted and approved by our Selection Committee before they get access. We don’t let just anyone in, and that’s by design. The quality of the people on the platform is what makes everything else work.

Is my company data kept confidential?

Yes. Your company profile is visible only to approved members, and sensitive data such as financials or cap table information is never disclosed without your explicit consent.

What is a Badge?

When you’re approved for membership, Liquidity Club assigns you one or more Badges. A Badge is a label that indicates your membership status, stage, or participation level, and it determines what you can access on the platform.

Certain features, Lounges, events, and programs are available only to members with the relevant Badge. Badges are assigned by our Selection Committee based on your application, verification status, and activity on the platform. We may update your Badges over time as your company grows and your platform engagement evolves.

Send your application. We read every one. Not everyone gets in. You hear back within 5 to 10 business days, either way.

You’re In

You’re assigned a Member Success Coordinator from day one, part of the Club’s Member Success Service. They get you set up and keep things moving. Day-one benefits include non-dilutive capital, market intelligence, and operator education, available immediately.

Capital and Partner Access

Direct introductions to vetted capital providers: revenue-based lenders, tokenization partners, secondary liquidity providers, and acquirers. Not a single fundraising intro. A wider set of options matched to where your company actually is.

Execution Support

Senior operators and our capital guides help you run fundraising, partner deals, and expansion without adding headcount. The work gets done. You stay focused on the company.

Ongoing Support

Your situation changes. Your options change with it. We stay close as you move toward capital, secondary liquidity, expansion, or sale.

What’s included with membership.

What do Scaleup Members get access to?

Everything on the platform is built to get you closer to capital, revenue, or an exit. Here’s what’s available to you:

  • Non-Dilutive Capital Pathways. Qualified Scaleup Members are introduced to our affiliate capital partners to raise funding via tokenized instruments without giving up equity. Available to qualified members under applicable regulatory frameworks.
  • Secondary Liquidity Access. Direct connections to secondary buyers and structured liquidity pathways for early shareholders, founders, and team members. No need to wait on a Series A.
  • Investor Directory. Deep, diverse, and searchable. A vetted directory of venture and angel investors, corporate venture arms, and alternative capital sources, all at no cost.
  • Expert Directory and 1:1 Matching. Browse and book sessions directly with vetted experts by function, sector, and geography. You set the meeting, they bring the experience. Full fee goes to the expert. We don’t take a cut.
  • Strategic Facilitation. Your Member Success Coordinator connects you directly to the partners, resources, and introductions that match where your company is right now: financing, legal, operational infrastructure, or growth strategy.
  • Intelligence Engine. A continuously growing collection of proprietary data, content, and answers covering sector trends, regional intelligence, and operational strategy.
  • Library. Articles, videos, and podcasts covering advanced operations, transactions, and transformation challenges.
  • Agreement Library. Download agreements, policies, and forms tailored to mid- and mezzanine-stage companies.
  • Scaleup Directory. Your company profile surfaces in searches by investors, corporates, and strategic partners looking for companies like yours.
Who is the Member Success Coordinator?

You’re busy running your company. Every Scaleup Member is assigned a Member Success Coordinator, part of the Club’s Member Success Service, who learns what you’re building and what stands between you and your next milestone.

They make the intros, they stay on top of your progress, and they know every corner of the Liquidity Club platform so you don’t have to.

Each company gets 3 Coordinator Hours per month, with additional hours available for purchase.

How do I contact my Member Success Coordinator?

Once you’re onboarded, you’ll receive details on how to reach your Member Success Coordinator, including contact information and scheduling options. Response times and availability will be outlined in your onboarding materials.

What about the long-term? What is the LCX-Fund?

Our highest-performing Scaleup Members get invited to participate as Limited Partners in the LCX-Fund, our annual equity exchange fund. Returns from the LCX-Fund back a digital token that flows value back to participating members. It’s a long-term Club incentive, not speculation.

Target launch: 2027.

How do I become eligible for the LCX-Fund?

Invitations to participate in the LCX-Fund as a Limited Partner are extended to top-performing Scaleup Members. Eligibility criteria are currently being finalized and will be published on the platform ahead of the LCX-Fund’s target launch in 2027.

04  //  HOW THE CAPITAL PATHWAYS WORK

The mechanics behind the capital.

How does the non-dilutive capital pathway work?

Through our affiliate capital partners, qualified Scaleup Members access six tokenization structures matched to the company’s stage, jurisdiction, and investor base. These split into two groups.

Securities offerings are regulated under applicable local law — in the US, that means Reg D 506(c) or Regulation Crowdfunding through a FINRA-registered portal; outside the US, equivalent regulated international markets apply.

Non-securities structures — including collectibles, loyalty tokens, asset-backed utility tokens, and presales of products or member privileges — are not securities offerings and are available to a broader audience globally.

Four of the six structures are non-dilutive; the equity token is dilutive but settled on chain with global accredited investor reach. You work directly with the capital partner; we handle qualification and introduction. It is a structured capital instrument built for real companies, not a speculative play.

What does ‘strategic facilitation’ mean in practice?

It means we actively connect you with the right people and opportunities: introductions to investors who match your stage and sector, corporate partnerships for revenue expansion, founder-to-founder intelligence from people who’ve been where you are, and access to specialized legal, financial, and operational partners.

Your Member Success Coordinator helps with much of this based on your profile and goals.

Who else is in the room.

What do investors get?

Direct access to pre-vetted, high-potential Scaleup Members, efficient due diligence workflows, and a dedicated investor room. They’re here because the deal flow is real and the companies are vetted.

How do experts work on the platform?

Experts are experienced operators and advisors who help Scaleup Members tackle growth, legal, financial, and operational challenges. You find them through the Expert Directory, book a 1:1 session, and pay through Stripe.

They keep everything they charge. We don’t take a cut.

What do corporates get?

Corporate Members join Liquidity Club to discover innovation, identify acquisition targets, and build strategic partnerships with fast-growing Scaleup Members. They bring market validation and commercialization pathways to the platform.

For Scaleup Members, that means direct access to potential customers, acquirers, and strategic partners. Corporate membership is free.

Are there accelerators on the platform?

Yes. Accelerator Members join LC to give their graduating companies continued access to non-traditional capital pathways, partner resources, and the broader LC network after the program ends.

For Scaleup Members, it means your accelerator relationship keeps working for you. For accelerators, it’s a way to extend post-program value without building the infrastructure yourself.

06  //  PRICING AND MEMBERSHIP

What it costs, and what it doesn’t.

What does membership cost?

Investors, Experts, Corporates, and Accelerators join free.

Scaleup Members pay $145 per month per company plus $95 per month per executive with platform access. There’s a 6-month initial commitment, then month-to-month after that.

We never charge transaction fees or commissions on any deals that happen through the platform.

How does that compare to other options?

Most other options charge against your equity, your deals, or your transactions. We charge a flat monthly fee.

Are fees refundable?

Fees aren’t refundable, but after your initial six-month commitment, you can cancel anytime through your account settings.

How do I cancel?

Through your account settings, whenever you want. Your access runs through the end of your current billing period.

07  //  REFERRAL PROGRAM

Refer a founder. Get paid.

Is there a referral program?

Yes. The Referral Rewards Program is open to all active Liquidity Club members in good standing. Because LC is invitation-only and membership requires Selection Committee approval, that approval is the gate. Once you’re a member, you’re automatically eligible to refer.

Refer a new Scaleup Member and you’ll earn 15% of their first-year subscription fees, paid monthly via Stripe for 12 months from their signup date. The person you refer pays the same membership fee regardless. Your payout comes from what LC already collects, not from any surcharge on their account. There’s no cap on referrals.

Quick math: Refer a company with 2 executives, that’s $335/mo in fees, so your payout is $50.25/mo for 12 months, or $603 per referral. Refer 10 companies and that’s $6,030.

Full terms are set out in the Referral Rewards Program Agreement, which you’ll sign when you enroll. The Agreement governs in the event of any conflict with the description above.

When do payouts stop?

Referral commissions are paid monthly for 12 months from the referred member’s signup date, then stop automatically. If a referred Scaleup Member cancels before 12 months, payouts stop at cancellation.

Where can I track my referrals?

Your Club dashboard displays active referrals, time remaining on each, payment history, and total earnings in real time.
